COMMERCIAL CLEANING SERVICE AGREEMENT

This Agreement is entered into between Royal Revolution INC (hereinafter referred to as the “Contractor”) and the party whose information is detailed in the section titled “Client Information” below (hereinafter referred to as the “Client”).

By signing this Agreement, the Client and Contractor formally agree to the terms and conditions outlined herein. This Agreement supersedes any prior agreements or understandings, whether written or oral, regarding the provision of cleaning services between the parties.

2. Scope of Services

The Contractor, including its employees, contractors, and personnel, will perform
janitorial services (“Cleaning Services”) as outlined below:
● Restroom cleaning (toilets, sinks, floors, and dispensers)
● Trash and recycling removal
● Kitchen area cleaning (sink, countertops, microwave exterior, and floors)
● Vacuuming carpeted areas
● Sweeping and mopping of common area floors (hallways and shared spaces)
● Monthly full facility floor cleaning


Materials and Supplies:
The Contractor will provide labor and supervision to ensure quality standards are met.
The Client will supply chemicals, paper products, hand soap, and trash bags unless
otherwise agreed.

Additional Services:
The Contractor will perform additional services upon the Client’s request, subject
to a separately agreed cost.

3.Term and Renewal

This Agreement will be effective on / / / and continue for a term of one (1)
year.
The Agreement will be subject to annual renewal. At the end of each 12-month
period, compensation terms will be reviewed and adjusted if necessary to reflect
changes in economic conditions or service scope.

A revised agreement will be provided to the Client at least 30 days prior to renewal.

4. COMPENSATION

The Contractor will invoice the Client a monthly fee of $1,250. Payment must be issued
within 15 days of the invoice date. The Contractor will accept payment through the
following methods: ACH Direct Deposit or Credit Card.


Interest may be applied to any overdue accounts at a rate of 1.5% per day. A new invoice
will be sent reflecting the incurred amount. If payment is not received, the Contractor
reserves the right to withhold services and terminate the Agreement if payments are
unduly late.

5. INDEPENDENT CONTRACTOR

The Contractor is classified as an independent contractor and not a contractual employee of
the Client. All compensation due to the Contractor will be paid as gross amounts.


The Client agrees not to directly or indirectly approach, solicit, or hire any contractors,
employees, or subcontractors employed by the Contractor during the term of this
Agreement and for a period of one (1) year following its termination or expiration. Any
violation of this clause shall entitle the Contractor to seek injunctive relief and damages,
including but not limited to costs for recruiting, training, and lost business opportunities.

6. PERMITS AND LICENSES

Contractor shall obtain all permits, licenses and any other items required by law. The
Contractor shall comply with all applicable federal, state and local laws, such as the
State Department of Labor, Occupational Safety and Health Act (OSHA), the U.S.
Department of Labor (USDOL), EEOC, the Department of Human Rights, and/or the
Human Rights Commission and all sexual harassment laws.

7. Non-Discrimination

Contractor shall not discriminate against any employee, worker, or applicant for
employment on the basis of age, sex, religion, color, race, national origin, ancestry, marital
status, sexual orientation, physical or mental disability unrelated to ability, or an
unfavorable discharge from the military service, nor otherwise commit an unfair
employment practice.

8. Prohibited Conduct

The Contractor will ensure that its employees, agents, or subcontractors refrain from
disturbing papers on office desks, opening drawers, bookcases, files, or cabinets. They shall
not use Client telephones, bring visitors into the building, or take photographs, videos, or

other visual recordings of the premises. Employees are also prohibited from accessing or
handling any confidential or sensitive information belonging to the Client.
Failure to comply with these prohibitions may result in immediate termination of
this Agreement.

9. Insurance

Royal Revolution INC maintains general liability insurance coverage to ensure protection
for both our clients and our team during the performance of cleaning services. Proof of
insurance can be provided.

10. Qualifications

The Contractor ensures that its employees, subcontractors, or other personnel have the
necessary qualifications and experience to provide the required services. The Contractor
is responsible for conducting criminal background checks on all employees and
subcontractors. Any individuals with felony convictions or misdemeanors involving
moral turpitude will be prohibited from providing services under this Agreement.

11. Limitation of Liability

Upon inspection of the site, the Client is solely responsible for any pre-existing damages
identified prior to the commencement of services. By signing this contract, the Client
agrees that the Contractor will not be held liable for such damages or for any issues
unrelated to the Contractor’s actions or performance. The Contractor’s responsibility is
limited exclusively to damages caused directly by its negligence, misconduct, or failure to
meet the agreed-upon terms during the execution of services.
The Contractor agrees to defend, indemnify, and hold harmless the Client, its Affiliates, and
their officers, directors, employees, and agents (“Client Indemnitees”) from any and all
claims, losses, damages, or liabilities arising directly from bodily injury, death, or property

damage caused by the Contractor’s negligence, misconduct, or failure to comply with
applicable laws or regulations.
The Contractor will not be liable for any claims, losses, or damages resulting from the
Client’s negligence, misconduct, or failure to comply with applicable laws or regulations.
The Contractor’s obligations under this clause are strictly limited to matters directly
attributable to its own actions, omissions, or those of its employees, agents, or
subcontractors.

12. Jurisdiction

This Agreement shall be construed in accordance with and governed by the law of the
State of Illinois.

13. Confidentiality

During the course of performing services on-site at Client’s location, Contractor may
have access
to confidential and proprietary information related to Client facilities, products, and
systems. Contractor will only use the information for the performance of the services.
Contractor agrees not to directly or indirectly use, divulge, disclose, or communicate any
confidential and proprietary information to any third party other than its affiliates’,
directors, officers, employees,
and consultants, who need to know the information in order to perform the services.

14. Entire Agreement

This Agreement, and any schedules attached hereto, constitute the entire agreement
between Client and Contractor. If any part of this agreement is broken the Contractor has
the right to take legal action as seen fit.
